Terms of Service

1. Acceptance

These Terms govern your use of Noxint (“the Service”), operated by Asymmetry Horizon, LLC (“Noxint,” “we,” “us,” or “our”). The Service includes the Noxint web chat and related API and MCP interfaces. By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old, have legal capacity to accept these Terms, and be permitted to use the Service under the laws that apply to you. You may not use the Service from a jurisdiction where it is prohibited.

3. What Noxint Does

Noxint is an AI chat for researching cryptocurrency and publicly traded companies. It combines AI-generated analysis with market data retrieved from private market-data services. It is available through the web; normalized API and MCP access may be offered separately.

Noxint is not an exchange, broker, dealer, investment adviser, financial planner, financial institution, custodian, or fiduciary. We do not execute trades, receive orders, hold assets, transmit funds, or manage a portfolio for you.

4. Wallet Accounts

Privy is the Service’s only account authentication provider. You sign in by connecting a supported Ethereum wallet. You are responsible for your wallet, device, keys, recovery methods, and all activity performed through your authenticated session. Noxint will never ask for your private key or seed phrase.

5. Token Holding and Credits

Noxint uses a hold-to-use model. Finalized token-transfer history across supported wallets proves the time during which your account earned flow, and a fresh balance check gates the current rate. There is one Holder status, with balance bands that scale the flow. While your account qualifies, chat credits accrue continuously at 100, 200, 300, or 500 credits per day into a reserve capped at three days of the current rate: 300, 600, 900, or 1,500 credits. Accrual that would exceed the cap is not banked.

A first verified wallet sign-in may receive 50 one-time chat credits. The trial requires no email, invite, payment, token balance, wallet age, or prior chain activity. Durable account, device, network, risk, concurrency, and sponsored-budget controls apply. The Service reports whether credits were added, already claimed, unavailable on the device, paused, or temporarily unverifiable.

Credits meter Service usage. A message can consume a base amount plus additional credits for successful market-data tool calls, and the amount may vary with workload. We may offer purchased chat or data credit packs through a hosted third-party checkout. Purchased credits expire one year after grant. Credits are not money, stored value, property, or a transferable token. They have no cash value and cannot be sold, transferred, redeemed, or refunded except where law requires.

Holder flow and trial credits are chat-only. Personal API keys and MCP calls use separate data credits and are not unlocked or funded by Holder status.

Holding $NOXINT does not purchase a subscription from Noxint, and Noxint does not sell the token. Blockchain balances are public and can change. If verified holding falls below the Holder threshold, accrual stops; credits already earned remain spendable. We may update accrual rates, reserve caps, tool weights, rate limits, or other access rules to protect the Service or reflect operating costs. Material changes will be communicated through the Service when reasonably practicable.

Token availability, liquidity, price, network operation, and smart contracts are outside our control. Nothing in the Service is a promise that $NOXINT will retain value or remain transferable.

6. Not Financial Advice

THE SERVICE DOES NOT PROVIDE FINANCIAL, INVESTMENT, TRADING, TAX, ACCOUNTING, OR LEGAL ADVICE.

All data, analysis, commentary, forecasts, levels, targets, invalidation points, and other outputs are for informational and educational purposes only. Nothing in the Service is a recommendation, solicitation, or offer to buy, sell, hold, or enter any transaction. Outputs are not personalized to your finances, objectives, or risk tolerance. You are solely responsible for your decisions and should consult qualified professionals where appropriate.

7. AI and Market-Data Limitations

AI systems can hallucinate, misread context, omit material facts, or produce fabricated, stale, incomplete, inconsistent, or misleading information, including when an answer sounds confident. Market data can also be delayed, incomplete, inaccurate, unavailable, or affected by upstream errors.

Noxint does not independently verify every source value or AI output and does not guarantee accuracy, completeness, timeliness, provenance, or fitness for a particular purpose. You must independently verify information before relying on it, especially before taking any action involving money or assets.

8. Assumption of Risk

Cryptoassets, securities, and derivatives can be volatile, speculative, illiquid, and subject to rapid or total loss. Past performance and historical patterns do not guarantee future results. You accept all risks arising from decisions you make based on the Service and should never risk more than you can afford to lose.

9. Acceptable Use

You must not:

  • Use the Service for unlawful activity or market manipulation.
  • Circumvent authentication, token checks, credits, rate limits, concurrency controls, or other safeguards.
  • Probe, disrupt, overload, reverse-engineer, or gain unauthorized access to the Service or another user’s data.
  • Use scraping, automation, or bots against the web interface other than documented API, MCP, or automation features we expressly provide.
  • Upload malware, deceptive material, unlawful content, or content that infringes another person’s rights.
  • Use outputs to make fully automated high-impact decisions about a person without appropriate human review.
  • Resell, sublicense, republish, or operate a competing data feed or service using substantial portions of Noxint outputs or third-party market data.

We may rate-limit, suspend, or terminate access when reasonably necessary to enforce these Terms, protect users or providers, comply with law, or preserve Service reliability.

10. Your Content

You retain any rights you have in prompts and files you submit. You grant us a limited, worldwide license to host, copy, transmit, transform, and process that content only as necessary to operate, secure, and improve the Service, satisfy your requests, and comply with law. You represent that you have the rights needed to submit the content and that our processing of it as described here will not violate law or another person’s rights.

Do not submit private keys, seed phrases, credentials, regulated records, or other sensitive information. Uploaded files are stored privately and disclosed through time-limited access only when needed to display or process the file.

11. Noxint Property

The Service’s software, design, branding, and original content are owned by Noxint or its licensors. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose. No other rights are granted. Third-party data and services remain subject to their owners’ rights and terms.

12. Third-Party Services

The Service depends on Privy, MoonPay Commerce when you use checkout, blockchain networks and RPC providers, AI model providers, market-data infrastructure, hosting, routing and storage providers, and other infrastructure. Their terms and privacy practices may apply to their processing. Their outages, policy changes, errors, or unavailability may affect Noxint without notice.

13. Availability and Changes

We may modify, pause, discontinue, or restrict any part of the Service, including models, tools, tiers, and integrations. We do not promise continuous availability or preservation of any conversation. You should keep your own copy of information you need.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE SECURE, UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DATA OR OUTPUTS WILL BE ACCURATE, COMPLETE, TIMELY, OR RELIABLE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOXINT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, TRADING OR INVESTMENT LOSSES, LOST OPPORTUNITIES, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY AND ARE A FUNDAMENTAL BASIS OF THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO SOME OF THEM MAY NOT APPLY TO YOU.

16. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Noxint and its affiliates, officers, directors, employees, contractors, and agents from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys’ fees arising from your content, your misuse of the Service, your violation of these Terms, or your violation of another person’s rights.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Before filing a formal claim, each party will try in good faith for 30 days to resolve the dispute after receiving written notice. Any unresolved dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules, in Delaware, except that either party may seek relief in a qualifying small-claims court or seek injunctive relief for misuse of intellectual property or unauthorized access.

TO THE EXTENT PERMITTED BY LAW, CLAIMS MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

18. General

If a provision of these Terms is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, sale, or transfer of the Service. These Terms and the Privacy Policy form the entire agreement about the Service.

19. Changes to These Terms

We may update these Terms. We will post the revised version and update the date above. If a change is material, we will provide additional notice when reasonably practicable. Continued use after the effective date means you accept the revised Terms.
